These Terms of Use ("Terms") govern your access to and use of the website, platform, and related services (the "Services") operated by Kazi ("we", "us", "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services. Our Privacy Policy describes how we collect, use, and share your information and is incorporated into these Terms by reference.
1. Eligibility and Account Registration
You must be at least 16 years of age (or the age of legal capacity in your jurisdiction) to use the Services. By using the Services, you represent that you meet this requirement and have the authority to enter into these Terms. If you are using the Services on behalf of an employer, you represent that you have the authority to bind that employer.
To access certain features (e.g. applying for jobs, posting listings), you must register for an account. You agree to provide accurate, current, and complete information and to update it as needed. You are responsible for maintaining the confidentiality of your password and for all activity under your account. You must notify us immediately of any unauthorised use or breach of security.
2. Use of the Services
We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for their intended purpose in accordance with these Terms.
2.1 Permitted Use
You may use the Services to search for jobs, create a profile and resume, apply for jobs, post job listings (as an employer), manage applications and shortlists, and communicate in connection with recruitment, in each case in compliance with these Terms and applicable law.
2.2 Prohibited Conduct
You must not:
- Violate any applicable law, regulation, or third-party right.
- Use the Services for any fraudulent, misleading, or illegal purpose.
- Impersonate any person or entity or misrepresent your affiliation.
- Harass, abuse, defame, or discriminate against others.
- Post false, misleading, or discriminatory job listings or content.
- Scrape, crawl, or use automated means to access the Services without our prior written consent.
- Attempt to gain unauthorised access to our systems, other accounts, or data.
- Introduce viruses, malware, or other harmful code.
- Interfere with or disrupt the integrity or performance of the Services.
- Remove or alter any copyright, trademark, or other proprietary notices.
We may suspend or terminate your access if we reasonably believe you have breached these Terms or for any other reason at our discretion.
3. User Content and Licences
"User Content" means any content you submit, post, or display through the Services (e.g. profile information, resumes, cover letters, job listings, messages). You retain ownership of your User Content. You are solely responsible for it and represent that you have all rights necessary to submit it and that it does not violate any law or third-party right.
By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable licence to use, reproduce, modify, adapt, publish, and display it in connection with operating and providing the Services (e.g. displaying your application to employers, showing job listings to job seekers). You also grant employers to whom you apply a licence to use your application materials for recruitment purposes. These licences survive until you remove the content or close your account, except where we need to retain it for legal or operational reasons (e.g. backup, dispute resolution).
We do not claim ownership of User Content. We may remove or refuse to display any User Content that we believe violates these Terms or is otherwise objectionable, without liability to you.
4. Job Listings and Applications
Employers are solely responsible for the accuracy, legality, and content of their job listings and for their hiring decisions. We do not guarantee the quality, legality, or accuracy of listings or the conduct of users. Job seekers are solely responsible for the accuracy of their profile, resume, and applications. We do not guarantee that applications will be reviewed or that any employment will result. Any contract formed between an employer and a job seeker is between them; we are not a party to such contracts.
You may not charge job seekers a fee to apply for a job unless clearly disclosed and permitted by applicable law. Employers must comply with applicable employment and anti-discrimination laws.
5. Fees and Payment
Some parts of the Services may be subject to fees (e.g. premium employer features, promoted listings). We will disclose any applicable fees before you incur them. You agree to pay all fees due in accordance with the payment terms presented at the time of purchase. Fees are generally non-refundable unless otherwise stated or required by law. We may change fees upon reasonable notice where permitted. Taxes are your responsibility unless we are required to collect them.
6. Intellectual Property
The Services (including design, text, graphics, logos, software, and other content we provide, excluding User Content) are owned or licensed by us and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works from our content or the Services without our prior written consent. Our name, logo, and related marks are our trademarks; you may not use them without our permission.
7. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. YOUR USE OF THE SERVICES AND ANY RELIANCE ON CONTENT OR USERS IS AT YOUR OWN RISK.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE (AND OUR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS) SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE OR ONE HUNDRED (100) US DOLLARS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IN SUCH CASES, THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
9. Indemnification
You agree to indemnify, defend, and hold harmless us and our affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Services; (b) your User Content; (c) your violation of these Terms or any law; or (d) your violation of any third-party right. We reserve the right to assume the exclusive defence and control of any matter subject to indemnification by you, at your expense.
10. Termination
You may close your account at any time through your account settings or by contacting us. We may suspend or terminate your account or access to the Services at any time, with or without cause or notice, including for breach of these Terms. Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive (e.g. licences, disclaimers, limitation of liability, indemnification) will survive termination.
11. Disputes and Governing Law
These Terms are governed by the laws of Kenya, without regard to conflict of law principles. Any dispute arising out of or related to these Terms or the Services shall be resolved in the courts of Kenya, and you consent to the personal jurisdiction of such courts. Nothing in these Terms limits your right to seek relief in any jurisdiction that applies mandatory consumer protection laws.
12. General
These Terms, together with the Privacy Policy and any additional terms presented in the Services, constitute the entire agreement between you and us regarding the Services. Our failure to enforce any right or provision is not a waiver of that right or provision. If any provision is held invalid or unenforceable, the remaining provisions remain in effect. You may not assign or transfer these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. We may modify these Terms at any time by posting the revised Terms on this page and updating the "Last updated" date. Material changes may be notified by email or through the platform. Your continued use after the effective date constitutes acceptance. If you do not agree, you must stop using the Services.
